Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Jlily (“Jlily”, “we”, “us”, or “our”), an AI product-photo and ad creative service available at jlily.ai. By using the Service you agree to these Terms.

This document is a template and contains placeholder language. It must be reviewed and adapted by qualified legal counsel before launch.

1. Acceptance of Terms

By creating an account, purchasing credits, or otherwise using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy and Acceptable Use Policy, which are incorporated by reference. If you do not agree, you may not use the Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization.

2. Description of Service

Jlily lets you upload product images and generate studio-grade product photography and advertising creatives using artificial intelligence. Features, models, scenes, presets, and output formats may change, be added, or be removed at any time. We do not guarantee that any particular output, style, or quality level will be available or consistent over time.

3. Accounts & Eligibility

  • You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Service.
  • Authentication is provided through our identity provider (Keycloak / OIDC). You are responsible for safeguarding your credentials and for all activity that occurs under your account.
  • You agree to provide accurate account information and to keep it current. You must notify us promptly of any unauthorized use of your account.

4. Credits & Payments

  • The Service operates on a prepaid credit model. Credits are consumed when you generate or process images.
  • Payments are processed by Lemon Squeezy, which acts as the merchant of recordfor your purchase. Your purchase is also subject to Lemon Squeezy’s terms, and applicable taxes may be collected by Lemon Squeezy.
  • Credits are non-refundable except where a refund is required by applicable law. Unused credits may expire as described at the time of purchase.
  • Prices, credit packages, and the credit cost of features may change. Changes do not affect credits you have already purchased.

5. User Content & Uploads

“User Content” means the images, product photos, prompts, brand assets, and other materials you upload or submit. You represent and warrant that:

  • You own or have all necessary rights to the product images and other materials you upload, including any depicted products, logos, designs, and trademarks.
  • Your User Content does not infringe the intellectual property, privacy, publicity, or other rights of any third party.
  • Your use of the Service complies with our Acceptable Use Policy.

6. License You Grant Us

You retain ownership of your User Content. To operate the Service, you grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, transmit, process, and create derivative works from your User Content solely for the purposes of (a) providing, maintaining, and securing the Service, (b) generating the outputs you request, and (c) complying with law. We do not use your User Content to train third-party foundation models except as described in our Privacy Policy.

7. Our Intellectual Property

The Service, including its software, design, models we develop, branding, and the Jlily name and logo, is owned by us or our licensors and is protected by intellectual property laws. Except for the rights expressly granted in these Terms, no rights are granted to you. You may not copy, modify, reverse engineer, or create derivative works of the Service.

8. Generated Content Ownership

Subject to your compliance with these Terms and your payment of applicable credits, you own the images you generate using the Service (“Generated Content”), to the extent such ownership is permitted by applicable law. You are responsible for how you use Generated Content, including ensuring it does not infringe third-party rights or constitute misleading advertising. Note that AI-generated outputs may be similar to outputs generated for other users, and the legal status of copyright in AI-generated works varies by jurisdiction.

9. Acceptable Use

Your use of the Service is subject to our Acceptable Use Policy. Violating it is a material breach of these Terms and may result in suspension or termination.

10. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or to protect the Service or other users. Upon termination, your right to use the Service ends. Sections that by their nature should survive (including IP, disclaimers, limitation of liability, and governing law) will survive termination. Refunds of unused credits, if any, are governed by Section 4.

11. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or that Generated Content will meet your requirements or be suitable for any particular use, including commercial advertising.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, JLILY AND ITS SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID TO US IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

13. Governing Law

These Terms are governed by the laws of the Republic of Korea, without regard to its conflict of laws rules. The courts located in the Republic of Korea will have jurisdiction over disputes, subject to any mandatory consumer protections in your jurisdiction. (Placeholder — confirm with counsel.)

14. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide notice (for example, by posting the updated Terms with a new “Last updated” date or by email). Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
